These Terms of Service (“Terms”) are a binding agreement between you and BioZen Solutions, LLC, a Florida limited liability company doing business as BioZen Peptide (“BioZen,” “we,” “us” or “our”). They govern your use of biozenpeptide.com (the “Site”) and every purchase you make from us. Please read them carefully. Section 17 contains a binding arbitration agreement and class action waiver that affect your legal rights.<\/p>\n

1. Acceptance<\/h3>\n

By accessing the Site, checking the acceptance boxes at the entry screen or checkout, or placing an order, you agree to these Terms, our Research Use Policy, Disclaimer, Privacy Policy, Shipping Policy and Returns & Refunds policy, each incorporated here by reference. Your electronic acceptance is a valid signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Florida Uniform Electronic Transaction Act. If you do not agree, do not use the Site or purchase from us.<\/p>\n

2. Eligibility<\/h3>\n

You must be at least 21 years old and legally able to enter into contracts. You may purchase only where the purchase, possession and laboratory use of our products are lawful. We ship only to addresses within the United States, and we may decline or cancel orders to any state, address or person at our discretion.<\/p>\n

3. Research Use Only<\/h3>\n

All products are sold strictly for in vitro laboratory research. They are not drugs, foods, dietary supplements, cosmetics or medical devices, have not been approved or evaluated by the U.S. Food and Drug Administration, and are not intended to diagnose, treat, cure, mitigate or prevent any disease. Products must not be administered to humans or animals by any route, including injection, ingestion, inhalation or topical application. Our Research Use Policy is part of these Terms.<\/p>\n

4. Your Representations<\/h3>\n

With every order you represent and warrant that:
(a) you are purchasing solely for lawful laboratory research use;
(b) you will not use, administer, sell, give or distribute any product for human or animal use;
(c) you have the knowledge and training to handle, store and dispose of research chemicals safely;
(d) you will comply with all federal, state and local laws that apply to your purchase, possession and use of the products;
(e) all information you provide to us is true, accurate and complete.
If any of these statements is untrue, all warranties are void, we may cancel your order without notice, and you assume all liability arising from the products.<\/p>\n

5. No Medical Advice<\/h3>\n

Nothing on the Site, in our product descriptions, certificates of analysis or communications is medical, clinical or dosing advice. Product descriptions summarize published scientific literature for research reference only. We do not answer questions about human or animal use, dosing or administration. Any such request may result in order cancellation and refusal of future orders.<\/p>\n

6. Product Information and Certificates of Analysis<\/h3>\n

We work to keep product information accurate, but descriptions, images and specifications are provided for reference and may contain errors. Product images are illustrative. Certificates of analysis report the results for the specific lot tested on the date stated, and results apply only to that lot. Minor variation between lots is normal.<\/p>\n

7. Orders and Acceptance<\/h3>\n

Your order is an offer to purchase. We accept your order only when we ship it. We may refuse, limit or cancel any order, in whole or in part, for any reason, including suspected non-research use, suspected fraud, payment issues, quantity limits, pricing or listing errors, or legal restrictions. If we cancel after you are charged, we will refund the amount charged for the cancelled items.<\/p>\n

8. Pricing and Payment<\/h3>\n

Prices are in U.S. dollars and may change without notice. If a product is listed at an incorrect price, we may cancel the order and refund you. You authorize us and our payment processor to charge your selected payment method for the full order amount, including taxes and shipping. Discounts, promotional codes, ZenAway box savings and multi-unit savings apply only as stated on the Site, cannot be combined unless stated, and have no cash value. The ZEN26 welcome code (10% off) may be used once per email address and may be combined with sale prices, ZenAway pricing, multi-unit savings and one other promotional code.<\/p>\n

8A. Payment and Web Authorization<\/h3>\n

By submitting an order on this website, you authorize BioZen Solutions, LLC d\/b\/a BioZen Peptide to charge the payment method you provide for the total amount shown at checkout, including product price, applicable sales tax and shipping. You confirm that you are the authorized holder or authorized user of that payment method, that the billing information you provided is accurate, and that you are at least 21 years of age. You confirm that your order is placed for laboratory research purposes only and that the products shall not be used for human therapeutic purposes or for human or animal consumption. Your electronic acceptance at checkout serves as your signature and authorization for this transaction under the E-SIGN Act. Charges will appear on your statement under the name BioZen Peptide or BioZen Solutions. You agree to contact support@biozenpeptide.com to resolve any concern before disputing an authorized charge with your card issuer, as described in our Chargeback Policy.<\/p>\n

8B. ACH and eCheck Payment Authorization<\/h3>\n

All ACH and eCheck payments are made payable to BioZen Solutions, LLC d\/b\/a BioZen Peptide. Each time you place an order using ACH or eCheck by clicking \u201cPlace Order,\u201d you authorize BioZen Solutions, LLC to initiate a single ACH electronic debit from the bank account you provide, in the amount of your order, on the date of your order. You confirm that you are authorized to use that account and that the ACH transactions you authorize comply with applicable law. Payments made after 2 PM Eastern Time are applied as of the next business day. Once payment is authorized, it cannot be changed or corrected.
To validate your bank account, you also authorize BioZen Solutions, LLC to initiate a one-time ACH debit and\/or credit of less than $1.00 (a micro-entry) to that account, and an ACH entry to recover any micro-deposit. Validation micro-entries for orders placed after 2 PM Eastern Time may occur the next business day. This authorization cannot be revoked once you click \u201cPlace Order.\u201d We recommend that you print or save a copy of this authorization for your records.<\/p>\n

9. Chargebacks<\/h3>\n

If you have a problem with an order, contact support@biozenpeptide.com first; we resolve most issues quickly. If you file a chargeback or payment dispute instead, we will provide your processor with the order record, including your electronic acceptance of these Terms, the Research Use Policy, shipping and delivery confirmation, and all communications. Disputes found to be unwarranted may result in cancellation of pending orders, refusal of future orders, and recovery of the amounts owed plus reasonable collection costs where permitted by law. 10. Sales Tax<\/h3>\n

We collect Florida sales tax and any applicable county discretionary sales surtax on orders delivered to Florida addresses. Shipping charges are stated separately. Orders delivered outside Florida are not charged Florida sales tax; you are responsible for any use tax owed in your state. Tax-exempt purchasers must provide a valid exemption or resale certificate before the order is placed; tax charged on orders without a certificate on file will not be refunded.<\/p>\n

11. Shipping, Title and Risk of Loss<\/h3>\n

All sales are F.O.B. origin (Naples, Florida). Title and risk of loss pass to you when we deliver the order to the carrier. We will help you file carrier claims as described in our Shipping Policy. Delivery dates are estimates only.<\/p>\n

12. Returns<\/h3>\n

Returns and refunds are governed by our Returns & Refunds policy.<\/p>\n

13. Limited Warranty and Disclaimer of Warranties<\/h3>\n

We warrant only that each product, at the time it ships, matches the compound identity stated on its label. Your sole remedy for breach of this warranty is replacement of the product or a refund of the price paid for it, at our option, provided you notify us within 30 days of delivery with supporting documentation. EXCEPT FOR THIS LIMITED WARRANTY, ALL PRODUCTS AND THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY PRODUCT IS SUITABLE FOR ANY SPECIFIC EXPERIMENT OR WILL PRODUCE ANY PARTICULAR RESULT.<\/p>\n

14. Limitation of Liability<\/h3>\n

TO THE FULLEST EXTENT PERMITTED BY LAW, BIOZEN AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM THE MISUSE OF ANY PRODUCT, HOWEVER CAUSED. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO A PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. These limits apply even if a remedy fails of its essential purpose.<\/p>\n

15. Assumption of Risk and Indemnification<\/h3>\n

You assume all risks associated with the handling, storage, use, misuse and disposal of the products. You agree to defend, indemnify and hold harmless BioZen and its members, managers, employees, agents and suppliers from any claims, losses, damages, liabilities, penalties, costs and expenses (including reasonable attorneys’ fees) arising from (a) your use or misuse of any product, (b) any use of a product on humans or animals, (c) your breach of these Terms or the Research Use Policy, (d) your violation of any law, or (e) any resale or transfer of products by you.<\/p>\n

16. Intellectual Property and Site Use<\/h3>\n

All Site content, including text, graphics, logos, product names, images and design, is owned by BioZen or its licensors and is protected by law. You may not copy, reproduce, scrape or use it for commercial purposes without our written permission. You may not use the Site for any unlawful purpose, interfere with its operation, attempt unauthorized access, or submit false information.<\/p>\n

17. Dispute Resolution, Binding Arbitration and Class Action Waiver<\/h3>\n

(a) Informal resolution. Before starting any claim, you agree to contact us at support@biozenpeptide.com and try to resolve the dispute informally for at least 30 days.
(b) Arbitration. Any dispute, claim or controversy arising from or relating to these Terms, the Site or any product or order will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its applicable rules. The arbitration will take place in Collier County, Florida, or by video or written submission. Judgment on the award may be entered in any court with jurisdiction.
(c) Class action and jury waiver. YOU AND BIOZEN EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION. Claims may be brought only on an individual basis.
(d) Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for misuse of products, intellectual property or the Site.
(e) Opt-out. You may opt out of this arbitration agreement by emailing support@biozenpeptide.com within 30 days of your first purchase with your name, address and a clear statement that you opt out.
(f) Time limit. Any claim must be brought within one year after it arises, or it is permanently barred, to the extent permitted by law.<\/p>\n

18. Governing Law and Venue<\/h3>\n

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. For any matter not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Collier County, Florida.<\/p>\n

19. Force Majeure<\/h3>\n

We are not liable for any delay or failure caused by events beyond our reasonable control, including carrier delays, weather, natural disasters, supply shortages, power or internet failures, labor disputes, government action or changes in law.<\/p>\n

20. Changes to These Terms<\/h3>\n

We may update these Terms at any time by posting the revised version on the Site with a new “Last updated” date. The Terms in effect when you place an order apply to that order.<\/p>\n

21. General<\/h3>\n

These Terms and the policies they incorporate are the entire agreement between you and BioZen regarding the Site and your purchases. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them without notice. Sections 3 through 21 survive any order, cancellation or termination.<\/p>\n
